These Terms & Conditions ("Terms") govern your access to and use of the Croudnest website at https://croudnest.com and the Croudnest software, applications, and services (together, the "Service").

The Service is operated by an individual (sole proprietor) carrying on business under the brand name "Croudnest" ("Croudnest", "we", "us", or "our"), with a place of business at D-304, Dhara homes, Mota varachha, Surat, Gujarat, India 394101.

By creating an account, accessing, or using the Service, you ("you", "your", or the "User") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. By using the Service, you confirm that you meet this requirement. The Service is intended for business and professional use and is not directed at children.

2. Definitions

• "Account" — the account you create to access the Service.
• "Instagram Account" — the Instagram Business or Creator account you connect to the Service.
• "Meta Platforms" — Meta Platforms, Inc. and its affiliates, including Instagram.
• "Subscription" — a paid plan giving access to specified Service features.
• "Content" — messages, links, media, contacts, and other materials you create, upload, or send through the Service.

3. The Service

Croudnest is an Instagram messaging-automation tool. It helps you respond to comments and direct messages, send links and offers, ask for follows, collect contact details, send automatic follow-ups, and capture leads — operating through Meta's official Instagram Graph API. Features available to you depend on your plan. We may add, change, or remove features over time.

4. Your Instagram Account and third-party platforms

To use core features you must connect an Instagram Business or Creator account. By connecting it, you:

• represent that you own the Instagram Account or are authorised to operate it and to grant us the permissions required to provide the Service;
• authorise Croudnest to access and act on that account through Meta's official APIs to provide the Service;
• agree to comply with all applicable Meta Platform Terms, Instagram Terms of Use, and Instagram's policies, in addition to these Terms.

Croudnest is an independent product. We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Instagram, Google, or any other platform. Your use of those platforms is governed by their own terms, and they may change their platforms, APIs, or policies in ways that affect the Service. You remain responsible for the standing of your own Instagram Account.

5. Acceptable use

You agree that you will not, and will not allow anyone else to:

• use the Service to send spam, unsolicited or "cold" messages to people who have not engaged with you;
• send content that is unlawful, deceptive, fraudulent, hateful, harassing, sexually exploitative, or harmful to minors;
• violate Meta Platform Terms, Instagram's policies, or any applicable law (including data-protection, consumer-protection, and anti-spam laws);
• impersonate any person or business, or connect an Instagram Account you are not authorised to operate;
• attempt to reverse-engineer, scrape, disrupt, overload, or gain unauthorised access to the Service or its systems;
• resell or sublicense the Service without our written permission.

You are solely responsible for the messages, links, offers, and other Content you send through the Service and for ensuring you have any necessary consents from the people you message.

6. Accounts and security

You may register using email and password or through Google sign-in (provided via Firebase Authentication). You are responsible for keeping your login credentials secure and for all activity under your Account. Notify us promptly at support@croudnest.com of any unauthorised use.

7. Plans, free trial, billing, and taxes

• Free plan. We offer a free plan with limited features. No payment card is required for the free plan.
• Free trial. Paid plans may include a 7-day free trial. Unless you cancel before the trial ends, your Subscription will begin and the applicable fee will be charged. You may cancel at any time during the trial to avoid being charged.
• Subscriptions. Paid plans are billed in advance on a recurring basis (monthly or annual, as selected) and renew automatically until cancelled. Prices are shown on our Pricing page and may be charged in Indian Rupees (INR) or US Dollars (USD) depending on your selection or location.
• Payments. Payments are processed by our payment partners, including Razorpay. We do not store your full card details.
• Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, and we may add taxes (such as GST) where required.
• Cancellation and refunds. You may cancel anytime; access continues until the end of your paid period. Fees already paid are non-refundable except as set out in our Refund & Cancellation Policy.

8. Your Content and data

You retain ownership of your Content and the contact data you collect. You grant us a limited, non-exclusive licence to host, process, and transmit your Content solely to operate and provide the Service. Our handling of personal data is described in our Privacy Policy, and you can request deletion as described in our Data Deletion page.

You act as the data controller (or Data Fiduciary under India's Digital Personal Data Protection Act) for contact data you collect through the Service. Croudnest processes that data on your behalf as a service provider. You are responsible for the lawfulness of the contact data you collect, for obtaining any consents required by applicable law, and for honouring the rights and choices of the individuals you communicate with.

9. Intellectual property

The Service, including its software, design, branding, and content (excluding your Content), is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not use our name or logo without our prior written consent.

10. Publicity

With your permission, we may reference your business name or Instagram handle as a customer in our marketing. You can opt out at any time by emailing support@croudnest.com.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied.

We do not guarantee any particular results, revenue, lead volume, follower growth, deliverability, or that the Service will be uninterrupted or error-free. We are not responsible for actions taken by Meta Platforms, Google, Razorpay, or other third parties, including any change, suspension, restriction, or ban of your Instagram Account or any change to their APIs or policies.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Content, your breach of these Terms, or your violation of any law or third-party rights (including Meta's policies).

14. Suspension and termination

We may suspend or terminate your access if you breach these Terms, misuse the Service, or create risk or legal exposure for us or others, or if required by a third-party platform or by law. You may stop using the Service and close your Account at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnity) will survive.

15. Changes

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and dispute resolution

These Terms are governed by the laws of India. Subject to applicable law, the courts at Surat, Gujarat, India will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service. The parties will attempt to resolve disputes amicably before commencing proceedings.
